
NED role - Interim CFO
Role summary
We are seeking a commercially astute and strategically driven Non-Executive Director (NED) to serve as our Interim Chief Financial Officer (CFO) during a pivotal stage in our growth journey. This role suits a seasoned finance leader with startup and fundraising experience who can contribute high-level financial overwatch, investor-facing guidance, and hands-on support as needed.
The NED will operate in an advisory or active strategic capacity, depending on their chosen equity tranche, and act as a key partner to the founder, supporting financial modelling, investment readiness, and scalable financial operations.
Key responsibilities
Strategic Finance & Overwatch
Advise on financial planning, modelling, and scenario analysis.
Guide long-term financial strategy and capital structuring.
Ensure financial practices support sustainable scaling and regulatory compliance.
Ensure we burn cash in a lean and responsible manner.
Fundraising & Investor Relations
Support investor conversations, due diligence preparation, and fundraising strategy.
Contribute to refining and stress-testing investor materials (pitch decks, forecasts, cap tables).
Actively participate in milestone capital-raising efforts like remaining Seed and onward to Series A, earning success-based rewards.
Financial Controls & Systems
Recommend best practices for early-stage financial governance.
Advise on cost controls, cash flow management, and resource allocation.
Support the evaluation or implementation of financial tools or fractional support providers.
Advisory Contribution
Participate in board-level discussions and strategic decision-making.
Provide a sounding board to the founder on commercial and operational matters.
Leverage your network for access to relevant talent, capital, and growth opportunities.

Proven experience as a CFO, Finance Director, or senior finance advisor in startups or high-growth businesses.
Demonstrated ability to support or lead capital raising from angel, seed, or Series A investors.
Solid understanding of startup funding instruments (SAFE, convertible notes, equity rounds).
Hands-on experience with financial models, investor communications, and due diligence.
Strong network in the startup, VC, or growth capital ecosystem is highly desirable.
Previous board or advisory experience preferred.

Flexible, advisory in nature: approx. 1–4 days/month, depending on tranche and phase of business activity.
Availability for periodic board calls, strategic reviews, and key investor meetings (especially during funding cycles).
Optional increased engagement if progressing toward executive or fractional CFO role.

Risk Management: Oversee the company's risk management framework and identify potential risks.
Financial Overwatch: Scrutinise the company's financial performance and ensure financial sustainability.
External Relations: Represent the company to external stakeholders, including investors and partners.
Corporate Governance: Ensure LumAi adheres to high standards of corporate governance and ethical practices.

A hybrid model of equity and success-based bonus.
💡 Equity options
0.5% = advisory focused only.
1% = active strategic guidance, leveraging your expertise and network.
2% = Above input + £25,000 investment for an additional 2%
📌 Vesting Structure
2-year cliff: no equity if you leave within the first two years.
Period: Shares vesting over 3 years.
🦄 Success-Based Bonus
Milestone bonus: If you directly help close a fundraising round, a 0.5% share of cleared funds will be yours.
Cash retainers: These can be negotiated during the NED’s tenure without straining our start-up finances.
